Senior Lawyer

We are seeking a highly motivated and skilled professional for the Senior Lawyer position.

The ideal candidate will have hands-on working experience with nonprofit organizations on tax matters as well as advising nonprofit boards of directors regarding ongoing compliance with both federal and state laws. Additionally, the candidate should be able to occasionally provide educational presentations on nonprofit compliance and the legal and ethical responsibilities of board members and the organization as a whole.

The main purpose of this position is to provide legal expertise and guidance to ensure the organization's compliance with relevant laws and regulations, as well as to support the organization's mission of supporting Ukraine through legal advocacy and representation.

Among other tasks are:

• negotiating and drafting international grant agreements both as a grantee and a grantor;

• drafting policies and guidelines;

• drafting corporate documentation;

• legal assistance in audit preparation;

• consulting employees, contractors and volunteers of the organization;

• consulting grantees as to compliance requirements and grant agreements provisions;

• coordinating legal work with international law firms and advisers regarding projects outside of the U.S.;

• advising and coordinating legal counsel and attorneys in the Ukrainian office with regard to the U.S. legal requirements and the organization's policies;

• negotiating with international partners and the state authorities of Ukraine and drafting respective legal documents.

Required skills:
Licensed in California;

5+ years of corporate law and/or nonprofit law in a law firm or as in-house counsel.
