The Role of the Board Secretary

The Secretary is a member of the board of directors who will serve as an officer.

The secretary’s other main responsibilities ensuring that accurate and sufficient documentation exists to meet legal requirements and to enable authorized persons to determine when, how, and by whom the board's business was conducted. In order to fulfill these responsibilities, and subject to the organization's bylaws, the Secretary records minutes of meetings, ensures their accuracy, and availability, proposes policies and practices, submits various reports to the board, maintains membership records, fulfills any other requirements of a Director and Officer, and performs other duties as the need arises and/or as defined in the bylaws

Requirements

Responsibilities

  • Keeps copies of the bylaws, minutes and other documents.
  • Keeps lists of Directors, committees and general membership.
  • Notifies board members of meetings and includes agenda, noting items that need special preparation.
  • Records all minutes during board and general meetings.
  • Files correspondence.
  • Records decisions of meetings.
  • Distributes copies of minutes to directors and posts minutes online (if applicable) promptly after meetings (and at least 10 days before the next meeting).
  • Keep a record of all policies approved by the Board in the Association's policy manual.
  • Maintain and monitor a calendar of important dates for the association such as grant filing dates, audit dates, etc.
  • Notifies members of general meetings.
  • Files the annual return, amendments to the bylaws and other incorporating documents with the Corporate Registry.
  • In the absence of the chairperson and vice- chairperson, chairs board meetings until the election of an alternate chairperson.
  • Archives Association records.

Meeting (s):

  • The board of directors meets January through December on the last Sunday of the month
  • 2:00 p.m., at Georgia Equality (Philip Rush Center)
  • Committees meet on average one time per month, pending their respective work agenda.
  • Meeting year: January-December

Financial Expectations

  • Board dues. Board members of H.Y.P.E. to Empower, Inc. are each expected to make a monthly or quarterly gift. As a growing non-profit organization, we rely on the dedication and support of our board members. As with most boards, a financial contribution is usually requested to efficiently and successfully execute the operational task and efficiently and successfully run the organization.
  • Individual board members will acquire funding for the organization in the total amount of $2,000 at minimum per year.
  • $720 cash per year (Personal contribution)
  • $1,280 cash per year (Solicit funding to Build Donor Capacity)

Personal Contribution at a minimum:

  • $60 Monthly (12 x $60 = $720) or $180 Quarterly (4 x $180 = $720)

The financial contribution can be attained in multiple ways, but not limited to fundraisers, sponsorships, peer to peer, and board dues.

About H.Y.P.E. to Empower, Inc.

H.Y.P.E. to Empower, Inc. aims to transform the lives of children, youth, young adults, families, and communities living with HIV. H.Y.P.E.’s targeted population are HIV positive children, youth, and young adults between the ages of 5-30 years old, and their families affected by HIV.

Our comprehensive and relevant services at H.Y.P.E. involve community services, HIV- education, academic education, counseling, medical, social, and professional support, and self and social empowerment.

In addition to our direct services for HIV positive individuals and communities, we also aim to provide our skills and expertise to persons, groups, organizations, and businesses who wish to utilize the HYPE model in targeting areas where they wish to make a difference.

Organization Background

On March 28, 2010, on his eighteenth birthday, Robert was diagnosed with AIDS (acquired immune deficiency syndrome). In December of the same year, he was also diagnosed with Cancer. Despite these life-changing events Robert prevailed. With much prayer and strong will he beat cancer and became HIV undetectable (controlled). Living with the virus Robert grew an

urge to work for hands-on with HIV/AIDS. He started volunteering with different organizations such as Ponce Center (IDP), Camp High Five, Emory (Pipe Line), Delta Sigma Theta Sorority Inc. along with various organizations who work with infectious diseases. Outside of these organizations, Robert served as the Program Coordinator for the Atlanta based LOVE Coalition (Lifting our Voices to Equality, Inc.), a certified tester with The Empowerment Resource Center.

After five years of living with the virus, Robert formed his own organization, HIV Positive Youth That Pledge to Empower Themselves and Others or (H.Y.P.E). H.Y.P.E was created from inspiration, love, and compassion. As the founder and Executive Director of this Non-Profit, Robert was inspired to start his vibrant organization because he did not want anyone else to look at his or her diagnosis in a negative way. Instead, he wanted to give hope to the under-served.

Build and grow programs that empower youth to succeed individually and flourish as leaders in order to transform the lives of children, youth, young adults, families, and communities living with HIV.

Our Vision

We envision empowered youth who live sustainable lifestyles. While mentoring and cultivating youth to manage their health, finances, and social responsibilities H.Y.P.E. will equip them with the educational and leadership capacities to be leaders in their communities, communities affected by HIV, and to promote the interests of these communities.

Our Impact

We Enhance Education and Foster Financial Stability: H.Y.P.E. works to support and provide youth with sufficient educational programs and resources to hone their skills, improve their knowledge, which will let them master various transitional skills, and pursue their professional endeavors. In doing so, our consumers will gain skills to be financially stable.

We Speared-Head Communities: At H.Y.P.E. we work hard to collaborate and partner with organizations, companies, and communities to enhance the lives of children, youth, and young adults living with HIV. In doing so we have partnered and calibrated with some of the best:
