Assistant Board Secretary

ORGANIZATION: UNITED SOCIAL SERVICES INC USS

Position Overview: The Assistant Board Secretary plays a supportive role in ensuring United Social Services Inc. maintains excellent governance practices, compliance, and communication. This position assists the Board Secretary in carrying out key administrative and organizational responsibilities and contributes to the overall efficiency of the board.

This is a hybrid role (San Antonio, TX) and reports to the Board of Directors.

Time Commitment: 10 to 15 hours per month.

Key Responsibilities:

1. Supporting Board Communications

Assist the Board Secretary in facilitating communication between the board, committees, and organizational staff.

Help distribute updates, reminders, and other board-related communications in a timely manner.

2. Assisting with Compliance

Support the Board Secretary in ensuring the organization meets legal requirements, including maintaining proper documentation and assisting with annual filings (e.g., corporate filings and IRS documents).

3. Preparing and Distributing Agendas

Collaborate with the Board Secretary and Board President to prepare, finalize, and distribute agendas before scheduled meetings.

4. Attending Board Meetings

Attend board meetings (special, annual, and regular) to assist in documentation, note-taking, and other support duties as needed.

5. Maintaining Accurate Records

Help organize and maintain a secure repository of board records, including meeting minutes, organizational bylaws, policies, and resolutions.

6. Tracking Board Events and Deadlines

Assist in maintaining and updating the board’s calendar of events, compliance deadlines, and other key dates.

7. Recording Meeting Minutes

Serve as a backup to the Board Secretary in recording minutes during meetings and ensuring their accuracy and timely distribution.

8. Supporting Board Orientations and Training

Work with the Board Secretary to prepare materials and assist in onboarding new board members.

9. Ensuring Confidentiality

Maintain strict confidentiality of sensitive board discussions and organizational matters.

10. Monitoring Attendance and Engagement

Assist in tracking board member attendance and participation in meetings and activities, reporting updates to the Board Secretary and Board President.

11. Contributing to Board Development

Collaborate with the Board Secretary in recruiting, training, and evaluating prospective board members to strengthen governance.

USS was uplifted by Mr. Lee C. Wallace, USS Founder/President & CEO, who opened his home to build a community of support. USS is committed to transforming lives and creating pathways to stability. Since our founding in 2018, USS has been dedicated to empowering individuals and families through innovative programs and compassionate support. Each year, we’ve expanded our reach, helping diverse populations overcome challenges and achieve stability. Through strategic partnerships, community collaboration, and a commitment to delivering tailored services, we have steadily grown our impact year by year. Our primary focus is on supporting at-risk, homeless, LGBTQ, and aged-out foster care young adults ages 18-24. Additionally, we serve individuals with disabilities, senior citizens, and families in need. USS has consistently worked to make a meaningful difference in the lives of individuals and families in need. Through dedication, innovation, and strategic action, we have achieved significant milestones, including serving over 800 individuals during the COVID pandemic and over 1,000 individuals post-COVID. Despite challenges, we remain steadfast in our commitment to providing essential support, ensuring that the needs of those we serve remain our top priority.
