About The Pathfinder Network

Founded in 1993 to provide justice system-impacted individuals and families the tools and support they need to be safe and thrive in our communities. We support second chances, envision communities that welcome all people, and create pathways to change. We believe all people have the capacity to change, and we honor the dignity and worth of every individual, treat our clients and employees with compassion, and bring excellence to all we do. The Pathfinder Network is based in the Portland Metro area with program sites statewide. We serve individuals experiencing incarceration, those reentering the community, those on forms of community supervision, those formerly legal system-involved, and their children and families. Programs and services are available to participants at our Center for Family Success (CFFS) in NE Portland, at program sites in Jackson, Marion, Multnomah and Clackamas counties, and within 9 of Oregon’s 11 correctional facilities . We develop and deliver a comprehensive scope of evidence-based, trauma- and gender-responsive, parenting and cognitive behavioral programs, including our proprietary, evidence-based curriculum Parenting Inside Out, the highest rated parenting skills curriculum for parents involved with the criminal justice system. We serve an average of 4 ,000 people a year agency wide.

The Board of Directors

The Board will support the work of TPN and provide mission-based leadership and strategic governance. While day-to-day operations are led by TPN’s Executive Director, the Board-ED relationship is a partnership, and the appropriate involvement of the Board is both critical and expected. As the highest leadership body of the organization and to satisfy its fiduciary duties, the board is responsible for :

  • Determining the mission and purposes of the organization

  • Selecting and evaluating the performance of the E xecutive D irector

  • Strategic and organizational planning

  • Ensuring strong fiduciary oversight and financial management

  • Fundraising and resource development

  • Approving and monitoring TPN’s programs and services

  • Approving of FY Budget and Monthly Financial Statments

  • Enhancing TPN’s public image

  • Ensuring TPN’s commitment to a diverse board and staff that reflects the communities it serves

  • Advancing the agency's commitment to diversity, equity, inclusion and justice

  • Maintaining the effectiveness and sustainability of the board and recruiting new members

  • Assessing its own performance as the governing body of the agency

Individual Board Member Expectations

The board of directors is made up of a group of dedicated individuals with integrity, credibility, and a passion for improving the lives of those that TPN serves and our communities. Each individual board member is expected to:

  • Understand and value the mission, policies, programs, and needs of TPN

  • Follow the organization’s bylaws, policies, and board resolutions

  • Read and understand the agency’s financial statements and documents

  • Serve as active advocates and ambassadors for the agency and fully engage in identifying and securing the financial resources and partnerships necessary for TPN to advance its mission

  • Leverage connections, networks, and resources to develop strategic collective actions to fully achieve the agency’s mission

  • Help identify personal connections that can benefit the agency’s fundraising and reputational standing, and influence public policy

  • Assist the ED and Board Co-Chairs in identifying and recruiting other board members

  • Prepare for, attend, and conscientiously participate in board meetings

  • Participate fully in board committees and other work groups

  • Volunteer for and willingly accept assignments and complete them thoroughly and on time

  • Provide counsel to ED and serve as trusted advisor as they develop and implement the TPN strategic plan

  • Sign an annual conflict-of-interest disclosure and update it during the year, if necessary, as well as disclose potential conflicts

  • M aintain confidentiality about all internal matters of TPN

Board terms/participation

TPN Board Members will serve a two-year term and are eligible for re-appointment. Board meetings will be held bi-monthly and committee meetings will be held in coordination with but outside of full board meetings.

Fundraising

TPN Board Members will consider the Agency a philanthropic priority and are expected to make an annual gift that reflects that priority. One hundred percent contribution from the Board, commensurate with their capacity, is expected for the Executive Director to report when seeking funding for the Agency.

  • Lived experience with the criminal justice system

  • Experience working with BIPOC and minority communities

Service on TPN’s Board of Directors is without remuneration , except for administrative support, travel, and accommodation costs in relation to Board Members’ duties.

Volunteer Service Position

Term Expectations: 2 years

Time Commitment: Bi-monthly Board Meetings, Monthly Finance Committee Meetings

Position Summary :

At The Pathfinder Network (TPN), we envision communities that welcome all people, provide second chances, and create pathways to change. We strive to create a diverse and inclusive environment, and we welcome applicants from diverse backgrounds and experiences.

The Treasurer reports to the Board the ongoing financial viability and stability of the Agency while monitoring the Agency’s financial information, supporting in the creation and maintenance of the agency budget and providing financial advisory support to the Director of Finance and Executive Director.

As the Treasurer, you will offer guidance to the Executive Director and Director of Finance in ensuring good fiscal planning, decision-making and oversight at a governance level. Your financial literacy, attention to detail, clear and accurate record keeping, and willingness to ask questions will allow you to excel in this role. Your knowledge and experience will be a valuable contribution to board meetings and enable you to successfully lead Finance Committee meetings.

Essential Functions:

  • Lead Finance Committee meetings and work in partnership with the Executive Director and Director of Finance

  • Assist in the preparation of the annual budget and its presentation to the board for review

  • Present the agency's state of finances at board meetings and other times as appropriate

  • Assist Board in understanding financial data and appropriate interpretation of financial statements

  • Review and approve monthly bank reconciliations and journal entries

  • Ensure that the board regularly monitors the organization’s financial performance and alerts it to any important discrepancies between planned and actual figures

  • Ensure that the organization maintains the appropriate financial books and records and that these are accurate and up to date

  • Ensure that government tax filings and remittances are submitted on a timely basis

  • Ensure that payroll and other liabilities are settled in a timely manner

  • Serve as a co-signer of checks with at least one other designated signer

  • Oversee the development of high-level financial policies and their review by the board.

  • Ensure that excess funds and reserves are properly held and invested

  • Verify that donations are handled appropriately and that grants, and service delivery contracts are accounted for in accordance with the requirements of funders

  • Present or co-present the organization’s financial report and recommend appointment or reappointment of auditor at the Annual Meeting

  • Meet with the external auditor annually, or more often if needed, to identify any financial control and record keeping problems or deficiencies and oversee action by the Executive Director and financial officer to address them

  • Recommend to the board the need for a review or renewal of the auditing services provided

  • Assist the Executive Director and board co- chair s with the development and presentation of the annual report

  • Help, along with the Executive Director, keep the board informed of important financial events, trends, and issues relevant to the organization

Valued Qualifications, Competencies and Experience:

  • Ability to commit the time required to fulfill the responsibilities described

  • CPA, preferred

  • An understanding of, and experience with, good financial management and reporting practices

  • Appreciation of the kind and level of financial information needed at a board level to support decision making

  • Experience in non-profit accounting
