Description: Cancer Commons is a 13-year-old nonprofit dedicated to guiding patients with advanced and rare cancers identify and access personalized, cutting-edge treatment and trial options. We are seeking pro bono legal counsel to support our mission during a pivotal phase of growth and transformation, to ensure that our operations comply with the latest legal standards and industry best practices. Key Areas of Need:
- Covered Entity vs. Non-Covered Entity Status:
- Determining the appropriate status to deliver specific services (clinical vs. non-clinical navigation and informational services).
- HIPAA/PHI Best Practices:
- Advising on best practices for a non-covered entity where HIPAA compliance is voluntary.
- Navigating issues related to pulling medical records from patient portals vs. pulling them from EHR systems and QHINs.
- Reimbursement and Agreements:
- Clarifying options for fee-for-service models (cash-based vs. CMS/commercial payers).
- Drafting and reviewing agreements (e.g., Business Associate Agreements vs. non-BAA templates).
- Terminology and Disclaimers:
- Guidance on using "patient" vs. "client" terminology.
- Advising on disclaimer language and placement across platforms.
- AI and Digital Engagement:
- Current understanding of legal considerations around AI bots and apps, especially in light of recent FDA expansions on defining AI as medical devices.
- Future Growth and Sustainability:
- Exploring nonprofit/for-profit hybrid models to support sustainable growth.

Qualifications: We are seeking an experienced legal professional with expertise in healthcare law, HIPAA compliance, nonprofit governance, and regulatory issues. Familiarity with issues around AI in healthcare and hybrid nonprofit/for-profit structures is highly desirable.
