Educate. Radiate. Elevate. is looking for a volunteer Intellectual Property Attorney to assist with our upcoming Merger and Acquisition! You could help offer invaluable guidance to ensure the IP assets of E.R.E. are properly evaluated, protected, and transferred.
You will be a welcome addition to the team if you are:
An IP attorney licensed in Illinois and/or Texas
Passionate about education, equity, and serving the community
About Us:
E.R.E. is a nonprofit operating in IL and TX formed during the pandemic to address the growing achievement gap due to school closures. Our purpose is to strengthen the educational achievement of underserved students by providing them with high-quality instruction from experienced tutors who will assist them with academics, enrichment, and test prep as well as essential learning and life skills. Our mission is to minimize the disproportionate learning losses for low-income students to provide economic, social, and emotional stability for the youth served, their families, and their communities.
What you’ll do:
Identify IP assets from the last four years of E.R.E.’s operation
Evaluate ownership and validity of the IP assets
Assess potential risks, such as IP litigation, infringement claims, or poorly documented IP rights
Determine the value of E.R.E.’s IP assets
Advise on how IP will be transferred or licensed
Ensure compliance with local and state (IL and TX) laws
Negotiate and draft documents related to IP in the purchase/transfer agreement
Review other IP-related contracts
Commitments:
Volunteer approximately 5-10 hours per month for all of 2025
Collaborate with the other members of the M & A Team
