Position Summary:

The Volunteer Legal Counsel will provide pro bono legal advice and support to the organization, ensuring compliance with all applicable laws and regulations, and assisting in developing and implementing policies and procedures. The ideal candidate will have experience in nonprofit law, contract negotiation, risk management, and governance.

Key Responsibilities:

Legal Advisory

  • Provide legal advice to the Executive Director and Board of Directors on nonprofit governance, compliance, and regulatory matters.

  • Review and draft contracts, agreements, and other legal documents to protect the organization’s interests.

Compliance and Risk Management

  • Ensure compliance with federal, state, and local laws governing nonprofit organizations, including maintaining tax-exempt status and adhering to fundraising regulations.

  • Assist in developing and implementing risk management strategies to mitigate potential legal issues.

Policy Development

  • Support the development and review of organizational policies, procedures, and bylaws to ensure legal compliance and best practices.

  • Offer guidance on ethical standards and conflict of interest policies.

Training and Education

  • Conduct training sessions for board members and staff on legal compliance, governance best practices, and ethical standards.

  • Stay informed on legal developments affecting nonprofit organizations and communicate updates to the Board and staff.

Dispute Resolution

  • Manage and resolve legal disputes involving the organization, including collaborating with outside legal counsel as needed.

  • Represent the organization in administrative hearings or other legal proceedings.

Documentation and Record-Keeping

  • Maintain accurate records of legal agreements, compliance documentation, and board meeting minutes.

  • Ensure that all legal documents are correctly filed and accessible for review.

Qualifications:
  • Education: Juris Doctor (JD) from an accredited law school.

  • Experience:

    • Minimum of 3 years of legal experience, preferably in nonprofit law or related fields.

    • Familiarity with fundraising regulations, tax-exempt status, and contract law is essential.

  • Skills:

    • Strong analytical and problem-solving skills.

    • Excellent written and verbal communication abilities.

    • Ability to work collaboratively with a diverse group of stakeholders.

    • Strong organizational skills and attention to detail.
