Respite Care Charleston is a 501(c)3 nonprofit organization providing support and services to those living with Alzheimer’s disease and other forms of dementia. Our services currently include half-day memory care, caregiver support groups, programs for those with mild cognitive impairment / early stage dementia, caregiver consultations (coaching and guidance), and community education and outreach.
RCC is governed by a Board of Directors comprised of volunteers who provide leadership and oversight while adhering to these fundamental legal obligations and best practices among nonprofits:
- Duty of Care - Act in good faith, using best judgement, in performance of Board duties as any other ordinary, prudent person would act in similar circumstances, taking reasonable steps to be actively engaged and well-informed to ensure appropriate use of assets and resources.
- Duty of Loyalty - Put the interest of the organization before personal or professional interests when acting as a decision-maker and/or representative of RCC, disclosing any potential conflict(s) of interest
- Duty of Obedience - Ensure the organization adheres to its mission, follows its own bylaws and policies, and obeys all applicable federal, state and local laws and regulations.
In accordance with the RCC Bylaws, the Board must have at least ten and no more than sixteen voting members. Terms are for three years and may be renewed for two additional terms. (For additional information, please reference the RCC Bylaws.)
When acting collectively as a group, the Board’s responsibilities include but are not limited to:
- Set short- and long-term priorities for programming and services in alignment with the organization mission, vision and values;
- Support the growth and long-term sustainability of the organization;
- Oversee organizational finances, ensuring appropriate use of resources;
- Select, support and evaluate the Executive Director who is responsible for the day-to-day operations and management of RCC and its employees
As individuals, each board member’s responsibilities include but are not limited to:
- Attend and actively participate in bi-monthly board meetings, annual retreats and other specially called meetings in person or remotely and engage in electronic conversations and votes as needed. (Note the RCC bylaw provisions regarding removal of directors due to excessive absences.)
- Board meetings are currently held at 5:30pm on the second Monday of odd numbered months and generally last one to one and a half hours.
Stay informed about current RCC programs, services and other activities by reviewing all materials provided in advance of board and committee meetings, reading RCC’s e-newsletter, and following the organization’s social media posts. - Make at least one personal financial gift to RCC annually, demonstrating commitment and support of the organization and its mission and ensuring the board maintains a 100% giving rate. While there is no minimum required contribution, it is expected each board member will include RCC among the top 3 charitable organizations they support financially.
- Attend at least 25% of RCC’s community events and fundraisers.
- Utilize personal and professional contacts, social media accounts and organization affiliations to raise awareness of RCC services and advocate for support of the organization through donations, sponsorships, event attendance, volunteerism and other resources.
- Identify and recruit volunteers and prospective board members who can contribute to the organization’s immediate and long-term goals.
- Actively participate in at least one of the following RCC committees:
- Budget and Finance - Members of this committee are responsible for reviewing monthly financial reports, overseeing RCC’s annual budget, and ensuring adherence to best practices for nonprofit financial management. The committee selects an external CPA firm to conduct financial reviews and/or full audits, facilitates the review process and ensures any insufficiencies identified in these reports are addressed appropriately. Other responsibilities include approval of tax filings; oversight of investments and major contracts; review of large, unbudgeted expenditures; management of aged accounts receivable; and financial stewardship of grants and donations.
- Programs and Services - This committee supports the development, delivery and evaluation of services; monitors the efficacy and efficiency of programs and sites; and uses data to guide continuous improvement efforts. Committee members may also help identify and address unmet caregiver needs; assist with volunteer recruitment, training and recognition; and develop partnerships to enhance program content.
- Fundraising and Development - This committee helps ensure RCC has the resources necessary to fulfill its mission, with sustainable programs and services, and sufficient reserves to support future growth and continuity of services. Primary responsibilities include assisting with development of 2-3 giving campaigns annually; planning and hosting fundraising events (including solicitation of sponsorships and in-kind donations); identifying and cultivating prospective donors, grantors and corporate partners; evaluating means of giving (ex. estate plans, memorials, peer-to-peer); helping steward donors through personal thank you notes, calls and program reports; and attending check presentations and other donor events.
- Marketing and Outreach: This committee provides expertise and guidance to plan, execute and evaluate strategic marketing activities by leveraging RCC’s brand, public relations, paid placements, website and online presence, social media, and other resources. The committee helps craft messaging which tells RCC’s story, raises awareness of programs and services, builds and sustains relationships with key stakeholders; drives referrals and helps connect those living with dementia with RCC.
- Executive Committee - This committee is comprised of the RCC Board’s four officers and may include the Executive Director as an ex-officio member. The Executive Committee serves as the Nominating Committee, Personnel Committee and Whistleblower Committee and may convene task forces or other special work groups when appropriate. The Committee may act on behalf of the board to address matters which may be emergent, time-sensitive or confidential and/or which fall outside the scope of other RCC committees.
Directors are encouraged to select the committee(s) which appeal to their interests and where their experience and expertise will allow them to have the greatest impact on the organization.
In respect of the time of our volunteers, RCC is committed to convening board and committee meetings only when there are action items which require discussion or consideration which cannot be accomplished via e-mail. Whenever possible, accommodations will be made to allow for remote participation in meetings via phone or video conference. While the contributions of each Board member will vary, it is generally expected that participation as a director will require an average of 3-5 hours per month.
