About the Organization:

Menzies Philanthropic Foundation is a dedicated non-profit organization committed to creating sustainable and supportive environments for vulnerable communities. As we grow and develop our initiatives, we are seeking a highly experienced Corporate Legal Consultant with jurisdiction in Texas to support our business owner and management team in all corporate legal matters during our startup phase.

Job Overview:

The Corporate Legal Consultant will play a critical role in providing legal guidance and support to the business owner and management team of Menzies Mission. This position requires an in-depth understanding of corporate law and the unique challenges faced by non-profit organizations. The consultant will ensure that Menzies Mission complies with all legal requirements, mitigates risks, and establishes strong legal foundations for sustainable growth.

Key Responsibilities:

  • Provide expert legal advice on corporate formation, governance, and compliance to ensure Menzies Mission meets all legal requirements.
  • Draft, review, and negotiate a variety of corporate documents, including formation documents, bylaws, governance policies, and commercial contracts.
  • Advise on intellectual property protection, including trademarks, copyrights, and licensing agreements.
  • Assist with fundraising activities, including the preparation of donation agreements, grant agreements, and compliance with fundraising regulations.
  • Guide the organization through mergers, acquisitions, and other strategic transactions, including conducting due diligence and structuring deals.
  • Develop and implement policies and procedures to ensure legal compliance and mitigate risks.
  • Conduct legal research to stay updated on relevant laws, regulations, and industry practices, and communicate implications to the management team.
  • Represent Menzies Mission in negotiations and provide strategic advice on business transactions and disputes.
  • Collaborate with internal and external stakeholders to address legal issues and support organizational initiatives.
  • Prepare and deliver legal opinions, reports, and presentations to the business owner and senior management.
  • Manage relationships with external legal counsel, ensuring efficient and cost-effective use of legal services.

Skills and Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Active membership in good standing with the State Bar of Texas.
  • Minimum of 5-7 years of experience in corporate law, with a focus on supporting startups or non-profit organizations.
  • Extensive knowledge of Texas corporate law, including experience with corporate formation, governance, fundraising, and compliance.
  • Strong analytical and problem-solving skills, with the ability to provide practical and strategic legal advice.
  • Excellent written and verbal communication skills, with the ability to effectively convey complex legal concepts to the management team and stakeholders.
  • Proven ability to manage multiple projects and priorities in a fast-paced startup environment.
  • High level of integrity, professionalism, and attention to detail.
  • Strong interpersonal skills, with the ability to build and maintain positive relationships with colleagues and external partners.
  • Proficiency in legal research tools and software.
