Job Summary:

As the Secretary of Reecee's Reach Board of Directors (Nonprofit Board Secretary), you will provide administrative and clerical support to the Board of Directors. Your role includes scheduling and preparing for meetings, taking and distributing agendas and minutes, maintaining corporate records, and ensuring compliance with all Federal and Alabama applicable laws and regulations. You will work closely with the Board President and other board members to uphold the organization's governance and compliance standards.

Essential Duties and Responsibilities:

Meeting Coordination:

Schedule and coordinate all meetings of the Board of Directors, including sending out meeting notices, agendas, and reminders to all, coordinating their accommodating their availability and preferences.

Secure appropriate meeting venues or virtual conferencing platforms and ensure they are accessible to all board members.

Documentation and Minutes:

Prepare comprehensive meeting agendas in advance, incorporating input from board members and executive leadership.

Attend all board meetings and record accurate and detailed minutes, capturing discussions, decisions, and action items.

Distribute meeting minutes promptly to all board members and other stakeholders in accessible formats.

Record Keeping:

Maintain a secure and organized record of corporate documents, including the organization's Articles of Incorporation, Bylaws, and official meeting minutes.

Ensure that all records are stored in a manner that promotes accessibility and transparency for board members and revelant authorities.

Compliance and Reporting:

Monitor and track compliance with legal requirements, including filing deadlines, reporting obligations, and tax-related matters.

Collaborate with relevant professionals, such as legal counsel or auditors, to ensure compliance with Federal and Alabama nonprofit regulations.

Communication Facilitation:

Serve as a central point of contact for board members, relaying messages, inquiries, and updates between board members and the executive team.

Facilitate open and inclusive communication among board members, ensuring that all voices are heard and considered.

Support for Board President:

Provide administrative support to the Board President, such as assisting with correspondence, scheduling, and preparation for special meetings or events.

Collaborate closely with the Board President to ensure the efficient functioning of the board.

Governance Education:

Keep the board informed about best practices in Federal and Alabama nonprofit governance and compliance, as well as emerging trends and regulations that may impact the organization.

Organize and facilitate training sessions or workshops for board members to enhance their understanding of governance principles.

Accessibility and Inclusivity:

Promote and maintain an inclusive and accessible environment for all board members, including those with disabilities or diverse backgrounds.

Ensure that board meetings and materials are provided in accessible formats as needed.

Confidentiality and Ethical Conduct:

Uphold the highest standards of confidentiality and ethical conduct when handling sensitive information and matters related to the organization.

Continuous Improvement:

Seek opportunities for process improvement in the board secretary's role, including the use of technology to enhance efficiency and transparency.


Strong Organizational Skills:

Proficient in organizing and managing complex schedules, meetings, and documentation.

Ability to prioritize tasks effectively to ensure timely completion of responsibilities.

Excellent Written and Verbal Communication Skills:

Demonstrates clear and concise communication in both written and verbal forms.

Capable of drafting professional and accurate meeting minutes and correspondence.

Experience in Administrative Support:

3+ years of experience in a attorney, chief of staff, executive assistant, secretarial, or administrative support role, preferably within a nonprofit or board governance context.

Proven ability to handle administrative tasks efficiently.

Knowledge of Nonprofit Governance:

Familiarity with Federal and Alabama nonprofit governance principles, regulations, and compliance best practices.

Awareness of legal requirements and reporting obligations for Federal and Alabama nonprofit organizations.

Technological Proficiency:

Competency in using office software, email, and digital tools for document management and communication.

Experience with meeting management software is a plus.

Attention to Detail:

Meticulous in record-keeping, documentation, and minute-taking to ensure accuracy and completeness.

Ability to Maintain Confidentiality:

Demonstrates the highest level of discretion when handling sensitive information related to the organization and its board members.

Independence and Initiative:

Capable of working independently while proactively identifying and addressing areas of improvement in the role.

Takes the initiative to stay updated on nonprofit governance and compliance trends.

Inclusivity and Cultural Competence:

A commitment to inclusivity, diversity, and cultural competence, ensuring all board members' voices are heard and respected.

Preferred Qualifications:

Experience with nonprofit accounting software.

Familiarity with grant writing and management processes.

Relevant certifications or courses in nonprofit management, governance, or related fields.
