Board Secretary Job Description

The Secretary serves a key leadership role within the organization and will foster effective communication and record-keeping for the Board by managing the Board’s meeting agendas, schedules, minutes, and other paperwork in accordance with the Bylaws, establishing a smooth, efficient, and organized setting for the Board to communicate and operate in.


Key Responsibilities

Communication: The Secretary is an active conduit for communication between the Board and management by giving proper notice of any meetings and timely distribution of materials such as agendas and meeting minutes.

  • Records accurate minutes of meetings, Board actions, and reports from committees
  • Advocate for the organization and be involved and engaged in decisions and discussion
  • Fully participate in one or more organizational committees
  • Maintain sensitive or confidential information discussed at meetings

Expectations of individual Board Member

  • The Secretary should become knowledgeable of the organization’s records and related materials and should be able to provide advice and resources to the Board on relevant topics at issue.
  • Learn the organization's mission, visions, Initiatives, and programs
  • Serve as active advocates and ambassadors for the organization in securing financial resources and partnerships to advance the mission
