General Overview About the Board of Directors & Organization

Veteran's Next Mission (VNM) is actively recruiting individuals passionate about our U.S. military veterans, to help grow our board of directors. You should be interested in helping grow a relatively new nonprofit that is dedicated to employing our veterans and providing them with on the job training and knowledge in the construction industry.

VNM leads veterans through a 4-year apprenticeship program to provide them with all the necessary skills and training to obtain and maintain employment with a private or government contractor in the construction trade.

We are seeking individuals who are able to commit to one 2-hour meeting per month, currently held near Chantilly, VA on the fourth Thursday of every month from 6pm. to 8pm. We are a working board, so we are looking for members who are interested in helping actively spread the word about the organization and can attend occasional events that raise awareness and support fundraising.

Duties of the General Counsel (Board Member)

The General Counsel will provide legal services, assist with internal investigations, prepare and review legal documents, and provide education on legal issues for regulatory and compliance matters. Serve as in-house counsel on compliance and regulatory matters. Collaborates to ensure VNM has the appropriate controls, policies, procedures and systems in place to support its continued growth. Assist with advising business executives and Board Members on legal compliance and federal and state regulatory matters. Retain, supervises and coordinates the assistance of outside counsel and other expert consultants. Provide or arrange for appropriate education on legal issues. Provide legal and policy advice, information, and drafting assistance on a variety of corporate policies and regulatory guidance.

Records

The General Counsel will guide the organization’s records retention and ensure policies align with federal, state, and local laws and regulations.

Communication

The General Counsel reviews fundraising materials, and marketing materials to ensure they comply with federal, state, and local laws and regulations.

Meetings

The General Counsel participates in Board meetings as a voting member.

Experience Required

JD and a minimum of four years of experience, of which two years must be relevant legal experience. Demonstrated ability to draft and negotiate a broad range of contractual agreements or policies required. Tax-exempt organization experience, law firm background and/or in-house experience at a public charity or private foundation preferred. Demonstrated success in analyzing and advising clients about complex legal and factual issues. Skill in interpreting applicable federal, state and local laws, regulations, and ethics rules.
