DESCRIPTION
The primary purpose of the Chief Executive Counsel Ambassador will provide counsel on legal matters to the management of SSWE, INC. ; to support and provide legal direction in the development of contracts, agreements and in all other matters where the organization is entering into a legal relationship or understanding with another entity; to draft and manage applicable corporate Policies and Procedures; to manage cost effective and efficient use of external counsel by the management of SSWE, INC. and serves as the Secretary of the Board of Advisors of SSWE, INC. and subsidiary Boards all in compliance with applicable laws, regulations, and SSWE, INC. policies.
RESPONSIBILITIES
The qualify candidate most be able to:
Perform legal activities to support the Organization’s operations and administrative functions, including the interpretation of laws and regulations.
Implement and incorporate appropriate revisions to licensee agreements, organization policies, operating manuals, standard operating procedures, and other contracts and agreements.
Prepare documents for, and provide legal advice to, management regarding acquisitions and divestitures of organization-operated facilities and businesses, including the negotiation and preparation of agreements and closing documents; conduct closings and complete reconciliations and post-closing matters with artists.
Provide support, assistance and legal advice to management in contractual and operational matters, including preparing, reviewing, interpreting and revising contracts and operating agreements and procedures, developing form contracts and agreements, and providing counsel regarding dispute resolution arising from contract interpretation, performance and enforcement issues.
Provide legal advice and counsel to management on various employment and labor-related matters, including the formulation and review of organization policies.
Provide legal advice and counsel to management on various environmental compliance and enforcement matters, including the formulation and review of organization policies.
Investigate and resolve environmental complain or regulatory issues, and manage related environmental litigation and administrative actions.
Investigate and resolve general litigation issues, and manage related litigation and administrative actions.
Serve as Secretary to the Board of Directors of SSWE, INC. subsidiary boards, and assigned committees. Maintain records, develop Board resolutions, and insure compliance with proper procedures.
Serve as liaison with other non-profit Legal and Fiscal Affairs Department to insure compliance with organization standards and procedures, communicate regarding issues or concerns, and manage alignment on actions and resolutions of local legal issues.
Approve and monitor the use of external counsel. Develop a list of acceptable firms and legal resources and approved fees. Insure effective use and monitor quality, costs, and results
Required Skills
Ability to gather and analyze factual information and make sound judgements

Ability to interpret law and regulation
High level of personal and professional ethics
Ability to work with confidential information in a discreet manner
Required Experience
J.D.in Law from a recognized school
At least 2-3 years of related experience in an industrial corporation or legal firm supporting industrial entities, including contractual, environmental, and employment law experience (preferably with mining, chemical, process, or other heavy manufacturing background)
Demonstrated knowledge of corporate law
Demonstrated knowledge of contractual law and contract preparation
Demonstrated knowledge of laws pertaining to merger and acquisitions
Knowledge of environmental law and experience in regulatory interface
Knowledge of employment law and experience in regulatory interface
