Role and Responsibilities:

 The business and affairs of the Organization shall be managed by the Board of Directors under the direction and supervision of the CEO/Chairman of the Board in accordance with the Law of New York. The primary responsibilities of the directors shall be to discuss the Organizations policies, goals, direction, and day-to-day operations required of staff and committees. In performing their duties, the Board shall conduct business with the highest of ethical standards while utilizing business judgment in the interest of its members, donors, sponsors, targeted audience, the communities in which it operates and its employees. Acting on the recommendation of its Corporate Governance and Nominating Committee, the Board has developed and adopted this set of corporate governance principles to provide guidance to the Board and management in carrying out these responsibilities, to promote the effective functioning of the Board and its committees and to set forth a common set of expectations as to how the Board should perform its functions.
