The governance committee is responsible for ongoing review and recommendations to enhance the quality and future viability of the board of directors. The work of the committee revolves around board role and responsibilities; board composition; board knowledge; board effectiveness; and board leadership. The main overall responsibility of the governance committee is to assure that there are an adequate number of Board members representing diverse communities with a variety of skills that meet the needs of the organization.

    1. Responsibilities of Governance Committee

      1. Strategic

        1. Set annual work plans to determine needs and responsibilities of committee for the year

        2. Determine how needs of the organization can be met through development of board and board members

        3. Bring forward issues, update and clarify primary areas of focus for the board; shape board agenda based on strategic plan

        4. Lead in assessing current and anticipated needs related to board composition; develop a profile of the board as is it should evolve over time

        5. Initiate yearly assessment of the board’s performance and review board’s practices, policies and bylaws

      2. Operational

        1. Recruit, introduce, and recommend new board members

        2. Assist Board Chair and CEO with vetting of candidates

        3. Participate in the planning and implementation of new board member orientation

        4. Lead in succession planning efforts

        5. Assess current board member involvement annually and, as necessary, make recommendations for reelections

        6. Recommend Board members for offices as needed.
