Purpose: To act as a voting member of the board with full authority and responsibility to develop policies for the operation of the Humane Society Serving Clark County; to monitor its financial health, programs and overall performance; and to provide the executive director the resources needed to serve the Humane Society’s constituencies.
- Understand the mission, policies, programs, and needs of the Humane Society
- Understand, implement, review, and revise the bylaws and policies
- Hire, support, and evaluate the executive director
- Monitor finances, approve contracts (as appropriate), and secure funding to support the mission
- Create, implement, and monitor strategic plans in collaboration with the executive director
- Attend board meetings regularly and come prepared and informed about agenda issues (two unexcused absences in a calendar year will result in an assumed resignation)
- Consider other points of view, make constructive suggestions, and help the board make decisions that benefit the Humane Society’s constituencies
- Disclose potential conflicts of interest as it relates to board and shelter business
- Serve on at least one committee and volunteer for special projects (directors spend an average of two to five hours per week serving the organization)
- Represent the Humane Society to the public and other organizations in a positive and professional manner
- Support the Humane Society through attendance at special events and activities and through meaningful financial contributions at a level appropriate to one’s personal circumstances
- Keep the executive director and board president informed of relevant community concerns
- Recruit new directors for the board, provide board education, and support board decisions
- Maintain confidentiality of board discussions (failure to do so will result in immediate removal from the board)
- Keep up to date on developments and research in the animal care profession
- Other responsibilities as defined by the board’s governance committee, bylaws, and policies
This position is unpaid and requires attendance at board meetings and several Humane Society events.
